ENTERTAINMENT LAW

Paramount–Warner Bros. Discovery: Court Fights End as Closing Approaches Paramount's merger with Warner Bros. Discovery cleared its final legal hurdles. A federal judge approved the 12-state consent decree on September 30, and Justice Elena Kagan denied a last-minute effort to halt the deal on October 5, with closing scheduled for October 6. The decree requires 30-plus theatrical releases a year, bars selling the Paramount or Warner Bros. lots in California for at least five years, and adds at least $300 million a year in domestic production spending. Missing film minimums triggers a Miramax divestiture and a $30 million penalty per film. Ynon Kreiz joins as co-CEO alongside David Ellison.

Within seven days of closing, Paramount agreed to make a one-time $17.5 million contribution to the Writers' Guild-Industry Health Fund and pay up to $6 million in the WGA's legal costs.
